Terms of Service

§ 1. General Provisions

  1. These Terms of Service govern the contractual relationship between BlueChip IT Strategy GmbH (hereinafter 'Provider') and its business clients (hereinafter 'Client') for all services provided, including consulting, implementation, and support in IT.
  2. These terms apply exclusively to entrepreneurs, legal entities under public law, or special funds under public law. Conflicting or deviating terms and conditions of the Client shall not be recognized unless the Provider expressly agrees to them in writing.
  3. The Provider reserves the right to amend these terms. The Client will be notified of any changes in writing. The changes are considered approved if the Client does not object in writing within four weeks of notification.
  4. All service agreements, amendments, and supplements must be in writing to be effective. This also applies to the waiver of this written form requirement.

§ 2. Definitions

  • Provider – Refers to BlueChip IT Strategy GmbH, the entity providing the IT consulting and management services.
  • Client – Refers to the business entity or organization that has entered into a service agreement with the Provider.
  • Service Agreement – Refers to the formal written contract outlining the scope of services, fees, and duration of the engagement.
  • Services – Refers to all work performed by the Provider for the Client, including but not limited to IT audits, cloud services, and cybersecurity.
  • Regulations – Refers to these Terms of Service, which form an integral part of every Service Agreement.

§ 3. Type and Scope of Services Provided

  1. The specific scope of services is defined in the individual Service Agreement between the Provider and the Client. The Provider offers strategic IT consulting, cloud infrastructure management, and cybersecurity services. The Provider is committed to delivering services with professional diligence and according to the current state of technology.
  2. The Provider is entitled to use subcontractors to fulfill its contractual obligations. The Provider remains fully responsible to the Client for the services rendered by subcontractors.
  3. Unless otherwise agreed, services are provided remotely. On-site support may be arranged and will be billed separately according to the terms of the Service Agreement.
  4. The Provider does not guarantee specific economic success. The advisory services are based on the information provided by the Client; the responsibility for the final decisions remains with the Client.

§ 4. Technical Requirements

  1. The Client is responsible for providing and maintaining the necessary technical infrastructure on their side, unless this is part of the services contracted with the Provider. This includes stable internet connectivity and access credentials.
  2. The Client shall grant the Provider necessary remote access to its IT systems for the purpose of fulfilling the service obligations.
  3. The Client must ensure that all provided information and access credentials are correct and up-to-date.

§ 5. Rights and Obligations of the Client

  1. The Client is obligated to provide all information and documents required for the provision of services in a timely and complete manner. The Client must inform the Provider immediately of any circumstances that could affect the service delivery.
  2. The Client is responsible for creating regular backups of its data. Unless data backup is an explicit part of the contracted services, the Provider is not liable for data loss.
  3. The Client shall pay the agreed fees in a timely manner as specified in the Service Agreement. In case of default, the Provider is entitled to suspend services until the payment is received. Statutory default interest rates shall apply.
  4. The Client shall not misuse the Provider's services, in particular, not use them for illegal activities. The Client shall indemnify the Provider from all third-party claims arising from such misuse.
  5. The Client shall keep all access credentials provided by the Provider confidential and protect them from unauthorized access by third parties.

§ 6. Final Provisions

  1. The place of jurisdiction for all disputes arising from this contractual relationship is Berlin, Germany, provided the Client is a merchant, a legal entity under public law, or a special fund under public law.
  2. This agreement shall be governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
  3. Should any provision of these terms be or become invalid, the validity of the remaining provisions shall not be affected.
